Metron will pay Program Creators subject to compliance the Metron Innovation Group, Inc. Commissions Program Terms and Conditions Agreement and according to the following parameters:

Program Creator Commission Terms and Conditions

REPRESENTATIONS AND WARRANTIES

Program Creators (“You”) maintain qualified training program accounts on the Metron platform. As a Program Creator, You represent, warrant and agree that:

1. You have the unique skill and ability with regard to providing Fitness Programs;

2. You have the full right, title and authority to enter into this Agreement and perform duties and obligations hereunder;

3. You have not granted, nor will grant, any right, do any act or enter into any agreement or understanding whatsoever, which may or will prevent, impair or hinder Your full performance of the obligations in this Agreement; and

4. You shall not do any act, fail to do any act or make any statement whatsoever, which may or will impugn, denigrate, disparage or reflect negatively upon the name, reputation or business interests of Metron; impairing Metron’s interests works in direct conflict to Your own and it is expressly understood that the representations, warranties and agreement under this clause shall survive the termination (without regard to the reason therefor) of this Agreement.

PROGRAM CREATOR COMMISSIONS

Individuals who register with Metron to participate in a qualified training program (“Services”) are deemed End Users. An End User paid account will entitle You to earn a Program Creator Commission.

1. Commissions are only applied to End User registrations for Metron qualified training programs.

2. End User registrations must be active and paid in order for commissions to be paid to You.

3. You must maintain an active qualified training program account in order to receive commissions. An account is deemed Inactive when Metron has detected that Your account has not resulted in any increase in qualified traffic to the Metron platform for a period of 60 days. Qualified traffic excludes visits by Affiliate him or herself and any spiders, bots, web crawlers, robotic or programmed activity. After an account is deemed Inactive, Metron will close the account and commission payments will cease. You may reactivate the account by executing a new Agreement or participate in the Affiliate Commission program. Terms and conditions may change. Metron reserves the right to remove a qualified training program for any reason, the effect of which would result in Your account being deemed Inactive and subject to the terms of this section. In the event that Inactivity was due to death or incapacity,the same terms apply; in no event will commission accrue post termination to heirs, beneficiaries or estates

4. Program Creator commission rates are incorporated as specified in the Contract Details page of the Metron website and payments will be managed by You from the Metron dashboard.

5. Commission payments are subject to offsets arising from changes in End User activity. In order to anticipate these changes, Metron maintains a 30 days payment reserve in your Account. The reserve balance will be paid interest free. Account management, including commission payout requests, is available on the Metron dashboard.
